Kroger Taps Veteran Legal Strategist George Vincent as New General Counsel

Kroger, the largest U.S. supermarket operator by revenue, has named George Vincent as its next General Counsel (GC), with his tenure set to begin on August 4. Vincent, a seasoned legal advisor with four decades of experience, most recently served as a partner at Dinsmore & Shohl, where he led the Cincinnati-based firm as Managing Partner (MP) from 2007 to 2022. His appointment comes at a time when the company is reinforcing its legal leadership amid heightened regulatory pressure.

Vincent’s background includes extensive experience advising corporations on growth strategies and complex legal environments, both domestically and internationally. At Kroger, he will oversee the legal and compliance departments, drawing from years of boardroom counsel and firm-level leadership. “George is a widely respected attorney and a trusted advisor to a wide range of companies and boards of directors,” said Ron Sargent, Chairman and CEO of Kroger. “He has decades of experience helping businesses grow and managing complex regulatory environments.”

Christine Wheatley, who has served as Kroger’s GC for more than a decade, will retire in early September. She joined Kroger in 2008 after working as a partner at Porter Wright Morris & Arthur and previously began her legal career at Frost Brown Todd. “We want to thank Christine for her many years of dedicated service,” Sargent added. “She has been a passionate advocate for our associates and provided outstanding guidance for our leadership team.”

Wheatley’s departure coincides with a legally turbulent period for Kroger. In December, a federal judge blocked the company’s proposed $25 billion merger with rival Albertsons, citing concerns raised by the Federal Trade Commission (FTC) that the merger could reduce competition and raise consumer prices. Kroger and Albertsons have since entered litigation in Delaware over the failed deal, signaling ongoing legal battles ahead.

Vincent’s appointment appears strategic, positioning Kroger with steady legal leadership to address both internal transitions and external regulatory challenges. His presence could also prove crucial as the company looks to rebuild trust with regulators and shareholders.

Elsewhere in the grocery industry, legal shakeups continue. Earlier this month, online Asian supermarket Weee! appointed Devang Shah as GC from ag-tech firm Pivot Bio, while in August of last year, Target brought in Amy Tu from Tyson Foods as its Chief Legal and Compliance Officer.

Kroger operates over 2,700 stores across the United States under various brands including Baker’s, Dillons, City Market, and Metro Market. The legal shift underscores the growing importance of stable legal leadership in a sector increasingly affected by regulatory scrutiny and market consolidation efforts.
